The Legal Assistant is a member of the Legal Team and reports to the Senior Paralegal and Assistant Corporate Secretary.

Key responsibilities of the role include :

CORPORATE

  • Assisting with maintenance of general corporate information, including updating corporate summary reports, virtual and physical corporate records books, and corporate structure charts
  • Assisting with corporate maintenance of global subsidiary entities including preparing and making annual regulatory filings and liaising with external corporate records service providers
  • Assisting paralegals and lawyers with preparation of quarterly meeting and Committee materials, including drafting resolutions and other meeting related documents such as notices of meetings, agendas and draft minutes
  • Assisting with tracking of Board and Family Forum attendance and payment of fees
  • Maintaining up-to-date lists of members of the boards and committees
  • Maintenance of the Corporate Secretary and Legal Team Calendar of key deadlines
  • Assisting with preparation and circulation of annual declarations of directors and officers
  • Preparing and filing annual Statistics Canada reports
  • COMMERCIAL AND REAL ESTATE

  • Conducting corporate and land searches, as well as other searches, as directed and under the supervision of lawyers and paralegals
  • Assisting lawyers and paralegals with preparation of documents, agreements and instruments using templates and precedents
  • Supporting acquisitions, corporate transactions and other ad hoc projects under the supervision of lawyers or paralegals
  • Reviewing and providing assistance with bid submissions and bid related documents
  • Assisting with Land Management Project document review and data entry
  • SHAREHOLDER RELATIONS

  • Assisting with preparation of private share sale documentation and process
  • Reviewing shareholder statements from Transfer Agent
  • Assisting with shareholder communications, including mailing of quarterly dividend payments and annual general meeting materials
  • Assisting with preparation and circulation of annual transparency questionnaires
  • ADMINISTRATION

  • Reviewing law firm invoices, coding and managing payment with accounts payable department
  • Assisting Tax and Finance departments on legal expense inquiries, accruals and audit requests
  • Processing Board and Family Forum expense reports
  • Preparing expense reports and assisting in making travel arrangements for the Legal Team
  • Assisting with population and maintenance of Graymont’s legal databases (contract, property inventory and intellectual property) and supporting paralegals with electronic and paper filing systems
  • Providing support to the Richmond Office and Administrative Services Supervisor and Administrative Support Team when needed
  • Maintaining with Legal Team library
  • Reviewing the Legal Team Calendar at meetings of the Legal Team
  • Assisting with the maintenance of the Legal Team page on myGraymont
