Our client, a reputable public company with headquarters in Calgary, is currently looking to add a Corporate Paralegal to their team.
Reporting to the Assistant Corporate Secretary, duties of this role will include :
Management and maintenance of corporate secretarial records, and accurate & timely preparation of minutes and resolutions
Assistance with corporate actions including complex tax, corporate, and real estate transactions
Preparation and review of documents regarding corporate approvals
Provide assistance to the Assistant Corporate Secretary in matters concerning corporate closings and other legal documents
Annual compliance notifications respecting long term debt and leases
Maintenance of records of attendance at meetings
Control, update, maintain, and circulate the corporate and minute book records, including Corporate Secretary databases (ALF), file system, shadow minute books, and disclosure binders
Respond to information requests and questions on all matters dealt with by the Office of the Corporate Secretary received from management and employees of the Corporation and from outside stakeholders
All other duties related to the preparation and administration of Board and Committee meetings
The successful candidate will be the graduate of an accredited Paralegal diploma, have Cores level II / III accreditation and 5+ years’ related experience.
