  • DUTIES

    Complete Federal and Provincial annual filings for a broad range of corporate clients Obtain Corporate Due Diligence searches (NUANS reports, Certificates of Status, Entity Profile Reports, etc.

    Maintain digital minute books and oversee digitization of physical books Assist with articles of incorporation, amendments, amalgamations, dissolutions, continuance, arrangements, etc.

    Conduct routine matters such as director / officer changes, annual resolutions, redemptions, dividends etc. Prepare and draft correspondence and resolutions Assist with corporate reorganizations, restructuring, and mergers & acquisitions Manage transaction closing checklists Prepare document books Work on multiple transactions and matters simultaneously Organize and maintain lawyer files

    REQUIREMENTS

    Law Clerk diploma or equivalent Member in good standing with the Institute of Law Clerks of Ontario would be an asset Minimum 1-2 years of corporate services experience Highly motivated, detail-oriented individual with excellent organizational and communication skills Able to work independently with minimal supervision Ability to handle sensitive or private information with tact and discretion Experience maintaining databases and online filings (OnCorp, NUANS, Industry Canada, etc.

    Proficiency in the entire MS Office Suite, Familiar with billing and docketing systems Experience with document management systems (DMS) would be an asset
