Theincumbent is expected to assist the legal department by providing a range ofsecurities law clerk and administrative support services predominantly relatedto public company matters.

Coordinate board and shareholder meetings.Assist with preparing agendas, notices, resolutions, forward agendas, meeting dates, and organizing meeting materials.
Assist with transactions including financing and M&A by arranging documents for due diligence reviews, precedent comparisons, draft resolutions, post-closing matters, and record book creation.
Review precedent public disclosure records, OSC guidance and industry best practices for corporate governance.
Update minute book information and maintain minute book filings and provincial ministry filings.
Update and keep track of key dates / deadlines for TSX / OSC filings, upcoming board / committee meetings, etc. using a tickler system.
Build strong working relationships with contacts at the Ontario Securities Commission and stock exchanges.
Other corporate legal duties as required
QUALIFICATIONS / SKILLS / EDUCATION
Minimum 3 years’ experience as a Law Clerk in a mid / large law firm or public company.
Legal Administration and / or Law Clerk Diploma
Excellent communication (verbal and written) and interpersonal skills required for effective communication with clients, lawyers, and other staff members
SEDAR and SEDI filing experience.
Good understanding of relevant securities and stock exchange requirements.
Strong computer skills, including Microsoft Office, and high proficiency in document formatting.
