Our Legal Counsel is responsible for management of internal and external legal responsibilities including risk mitigation, contract negotiation, and legal support.
Reporting to the VP of Legal, the successful candidate will provide efficient, effective, and commercially minded legal counsel to minimize risk, serve as a trusted advisor to stakeholders, and facilitate business development.
Major Accountabilities :
Draft, review, and negotiate major and / or non-standard technology contracts with public and private sector customers, including master services agreements, end-user licensing agreements, professional services agreements and business associate agreements
Form part of the team executing mergers and acquisitions, divestitures, stock purchases, strategic investments, joint ventures and other corporate transactions, from NDA to target integration
Manage the company’s intellectual property portfolio and preserve corporate records
Give accurate, balanced, and timely counsel to executives in a variety of legal topics
Direct and manage outside counsel, as necessary
Drive standardization and continuous improvement of commercial contract terms, clause libraries and playbooks
Identify legal and commercial risks and develop solutions to facilitate business development
Keep up to date on changes to legislation, regulation, and relevant legal topics across multiple jurisdictions
Oversee corporate secretarial matters
Work on ad hoc legal projects, including but not limited to, new policies, templates and procedures, and other corporate legal regulatory matters
Member in good standing of the Quebec or Ontario bar preferred
Qualified lawyer with at least 3+ years' of SaaS-related experience at a leading law firm and / or as in-house counsel with a global organization
Demonstrated understanding of corporate, commercial, and intellectual property law and contractual principles and experience drafting and negotiating technology-related subscription agreements for cloud-based offerings
Flexible, positive, and well-organized team player, comfortable working in a fast-paced software and technology environment
Ability and desire to work independently and with little oversight
Outstanding work and academic record
Ability to clearly communicate ideas and legal advice across all departments.
Experience working with technology companies
Experience working in healthcare or other highly regulated environment
