Job Description

Points is looking for a Senior Corporate Law Clerk to join our Legal team for a permanent position in our downtown Toronto office.

As our Senior Corporate Law Clerk, you will report to the VP Legal & General Counsel, and collaborate to support legal, compliance and regulatory matters at Points.

Your key responsibilities include :

  • Overseeing minute book maintenance and filings and returns in various jurisdictions.
  • Assisting with preparation of corporate and securities filings, including
  • Continuous disclosure documents
  • Quarterly compliance certificates
  • Filings on SEDAR and SEDI, including coordinating with stakeholders regarding other various annual requirements and continuous disclosure filings.
  • Coordination of board activities, including, preparing resolutions and meeting minutes, and consolidating onboarding materials for new board members.
  • Management of Annual General Meeting of Shareholders, including liaising with transfer agent and financial printers and coordinating shareholder communication and mailing.
  • Assisting with managing, drafting and review of ordinary course commercial and corporate items, including : Corporate resolutions and annual corporate filings Inbound vendor contracts and / or work ordersStandard form legal agreements (i.
  • e. non-disclosure agreements)Contract management and administration, including maintaining contract databaseSupporting documentation for transactions and reorganizations Management and administration of company contracts Escalating key issues to legal counsel

  • Assisting with transactions and financings, including management of virtual dataroom
  • Liaising with internal stakeholders and providing documents and support as needed.
  • Liaising and communicating with external contacts including regulators, vendors, partners, and legal counsel.
  • Performing other tasks and duties as assigned or required.
  • Qualifications

  • Law clerk / paralegal certificate and / or university degree from an accredited institution.
  • 10+ years experience as law clerk or paralegal (in-house experience with a Canadian or US public company.)
  • Possess a broad foundation of legal concepts, experience and applications relevant to the practice of securities law.
  • SEDAR, EDGAR and SEDI filing experience.
  • Confident and dependable, with initiative and ability to work both independently and in a team-oriented atmosphere.
  • High level of integrity and work ethic.
  • Ability to handle sensitive or private information with tact and discretion.
  • Ability to organize and prioritize competing workloads in a busy environment.
  • Strong drafting and proofreading skills.
