The Deloitte Mergers & Acquisitions (M&A) team delivers comprehensive financial advisory, tax and consulting services to both private equity investors and strategic corporate buyers.

Our multi-disciplinary engagement teams leverage years of industry knowledge and in-house expertise to take into account all aspects of a deal from developing a workable strategy and conducting comprehensive due diligence through to other aspects of execution and post-

deal integration. We address the following key transactional elements, drivers and intricacies :

  • To support our rapidly growing Financial Advisory Service in Canada, we are looking for a Manager with M&A due diligence and project management experience to lead financial due diligence as well as provide buy and sell side advisory services within our M&A Advisory group in Toronto, Ontario.

    Candidates will be expected to leverage technical and organizational skills to coordinate and manage full service Deloitte diligence teams, liaising and building relationships with financial advisors, investments banks, legal advisors, corporate lenders, investors and other stakeholders on an agreed scope of work.

    As our clients seek to grow their businesses, our M&A Advisory team provides expertise in performing due diligence on targets and assisting in its integration.

    As a member of our M&A Advisory team within Financial Advisory Service, you will help strategic buyers, private equity firms, as well as vendors by conducting financial due diligence and providing strategic advisory in the context of the transactions.

    In the position of Manager, M&A Transaction Services your duties will include, but not be limited to :

  • Collaborating with a diverse team of talented financial and business advisors;
  • Cultivating relationships with clients and colleagues;
  • Becoming a relied upon member of a high-performing team of professionals;
  • Managing / working with due diligence team members across all Deloitte functions;
  • Quickly developing an understanding of the target business and its drivers;
  • Interpreting and analyzing information memoranda, business plans and publicly available information on the target business;
  • Reviewing and analyzing historical trading, quality of earnings, cash flow, working capital, net debt, capital expenditure, forecasts and underlying assumptions;
  • Developing solutions and recommendations on normalized EBITDA, deal price, working capital adjustments, earn-outs, acquisition synergies;
  • Reviewing the appropriateness and adequacy of financing structures including review of agreements and consideration of limits, terms and covenants;
  • Developing recommendations and commentary on the technical aspects of sale and purchase agreements, leveraging due diligence findings and prior deal experience;
  • Evaluating potential synergies and post-merger integration considerations;

  • We are seeking the best and the brightest individuals. Successful candidates will be able to demonstrate the following job requirements :

  • Completion of undergraduate degree with outstanding academic credentials is required;
  • Completion or near completion of a CPA, CMA, CFA, or other accounting / financial designation, is required;
  • Minimum of 7 years of transaction / M&A experience in a professional setting is required;
  • Proven experience in delivering the full cycle of project management is required;
  • Proven experience with project problem diagnosis, solution development, client communications, facilitation of decision making, documentation, managing client expectations and team leadership;
  • Strong commitment to professional and client service excellence;
  • Superior verbal and written communication skills.
  • Salary range of CAD $98,000.00 CAD $112,000.00 per annum and will be commensurate with experience.
