  • The Legal team provides legal support and advice on a broad range of topics and covers a wide variety of work related to the life of the Bank and to its activities with its corporate and institutional clients or other counterparties.
  • The Legal team supports the BNP Paribas Canada Branch and the BNP Paribas subsidiaries in Canada reporting to the Head of Territory for Canada (hereinafter collectively referred to as the Bank ).

    Under the supervision of the Director Legal, the incumbent is required to :

    Generally, participate in the management of legal risks, and more particularly :

  • Act inan advisory capacity by drafting, analyzing, reviewing, or adapting documentationwith clients or counterparties whenneeded and by providing instructions to the departments concerned ref.
  • clientbanking and financing documentation (account opening and cash management documentation, bilateraland syndicated credit agreements and security,non-

    disclosure agreements, engagement letters and other banking products (such asletters of guarantee) .

  • Act inan advisory capacity with account managers and products specialists in theanalysis and structuration of certain financings or banking products (mostly forinstitutional clients and large corporates).
  • Act inan advisory capacity by drafting, analyzing, reviewing, or adapting serviceagreements or outsourcing agreements with certain third parties.
  • Act in an advisory capacity by analyzing legal risk and preparing documentationpertaining to any new product, or following regulatory changes affectingexisting products, by revising or drafting forms, templates or procedures and by providing directives or instructions to the departmentsconcerned.
  • Contribute directly to the permanent legal control framework by applying legalprocedures, implementing first and second-
  • level controls and alerting those in more senior positions of any malfunction as per relevant processes.

  • Monitorthe evolution of the BNP Paribas Group’s procedures, and adapt or draft certainlocal Legal procedures.
  • Followlegaland regulatory changes inCanada under his or her perimeter that could affect the activities of the Bankand of other entities of the BNP Paribas Group in Canada, and disseminaterelevant legal or regulatory information internally when needed.
  • Participateto certain internal committees.
  • Participateto certain legal training offeredinternally to colleagues from otherdepartments.
  • Ensure the application of relevant controls, and production of reports under his or her perimeter, and follow-up offiles under his or her responsibility.
  • Assistin themanagement of certain pre-litigationor litigationcases when participation of Legal is required.
  • Manage ad hoc projects of a legalnature as required;
  • Carry out any other related tasks requested by the immediate supervisor.
  • Bachelor’s degree from a recognized university; another undergraduate or graduate degree would be an asset; diploma or training in Common Law would be an asset

    Seven (7) years’ experience relevant to the main responsibilities or other relevant experience in private practice, including experience in banking and financing

    Membership in the Barreau du Québec; membership in the Bar of another province would be an asset (e.g., Law Society of Upper Canada Ontario)

    Bilingual : English and French

  • Quickly identify situations that may pose a risk for the Bank, even if it is outside the assigned mandate, including reputational risks
  • Ability to quickly and appropriately identify any issues to be resolved and work towards a pragmatic legal solution
  • Working knowledge of standard computer tools and software
