We are seeking a Corporate Law Clerk to join the Corporate Group. The role requires a polished, confident and reliable individual who has the ability to manage multiple tasks and adapt to changing priorities.
The successful candidate will be organized, discreet, able to multitask and possess a high level of client-care with a confidential work approach.
There is an emphasis for this position on an ability to multi-task, excellent written and spoken English skills, attention to detail and a strong willingness to be an early adopter of new technologies.
Generally, the hours of work are 9 : 00 a.m. to 5 : 00 p.m., Monday to Friday. Due to the nature of the role, overtime and weekend work may be required to meet client needs.
The position also requires carrying and monitoring a Firm smartphone.
Performs a variety of complex and routine legal duties under the supervision of the lawyers;
Prepares corporate documentation relating to incorporations, organizations, amendments, continuances, arrangements, amalgamations, dissolutions, mergers, acquisitions, financings, tax reorganizations, share and asset transactions and assists with stock option / share purchase programs;
Manages and maintains updated corporate database and corporate records;
Works with lawyers in all Dentons Canada offices to attend to OBCA and CBCA transactions, filing and registration equivalents;
Attends to the review and analysis of corporate minute book records and recommends the appropriate course of action to update records and rectify deficiencies, including drafting the required documentation;
Uses relevant information and individual judgment to determine whether events or processes comply with laws, regulations, or standards;
Attends to general corporate work including government filings, extra-provincial registrations, amendments, renewals for corporations, partnerships and limited partnerships and attends to enquiries from within and outside of the firm;
Other duties as assigned.
A minimum of 7 years of experience relevant to the responsibilities set out above.
Thorough knowledge of legal procedures, statutes and regulations applicable to commercial and corporate law (experience with not for profit corporations and / or securities law is considered an asset);
Able to manage files from start to finish;
Strong interpersonal skills with the ability to deal with clients directly in a professional manner;
Able to multi-task and to meet deadlines under pressure;
Demonstrated initiative and able to work with minimal supervision;
Excellent organization skills, accuracy and attention to detail;
Strong written and verbal communication skills;
Flexible team player;
Institute of Law Clerks of Ontario Certification and membership an asset;
Proficiency with EnAct, Oncorp, DocuSign, eShares and Cyberbahn is an asset.
