Legal Counsel Investment Funds
We are looking for a counsel level role to support Sun Life’s retail mutual fund business, Sun Life Global InvestmentsInc..
SLGI is a key part of growing Sun Life’s Individual Insurance and Wealth business unit in Canada and is recognized as one of Canada’s fastest growing investment management firms.
SLGI offers 74 retail mutual funds, with almost $20 billion in client assets under management. SLGI also sub-advises several dozen investment mandates on Sun Life’s Group Retirement Business platform, which is the largest Defined Contribution pension plan business in Canada.
Provide legal advice to the investment product and asset management teams, as well as senior management.
Review of marketing and sales literature.
Assist with the drafting and filing of National Instrument 81-102 mutual funds prospectuses.
Provide support to the business on new product launches.
Negotiate and draft intercompany, sub-advisory, service provider, and joint venture agreements.
Work closely with Compliance to review, draft and interpret company policies and procedures.
Prepare securities exemptive relief applications.
Manage external counsel.
Identify opportunities for improving the delivery of legal services.
Ensure that senior management is aware of critical issues and regulatory trends impacting the business.
Knowledge of securities law and practice, particularly as it relates to mutual funds and retail asset management.
Knowledge and experience relating to exchange traded funds, alternative funds and commodity pools would be definite assets.
An understanding of the various investment fund legal structuresis important.
An understanding of the asset management industry generally and some of its key players within Canada.
Aptitude for maintaining and enhancing relationships with internal clients, senior management, and external parties including outside counsel and investment sub-advisors.
Familiarity with product launch processes and an ability to develop skills to support the business and its activities.
Undergraduate or graduate university degree, followed by a Bachelor of Lawsor Juris Doctordegree from an accredited Canadian law school, called to the Bar of Ontario, and completion of articles.
4-6 years of experience as an associate at a law firm and / or in-house within the asset management industry.
Hands-on experience with investment funds and asset management, with focus on retail asset management, mutual funds, exchange-
traded funds and securities law along with experience with the regulatory issues relating to such businesses.
Preferred Skills :
Be a motivated self-starter with the ability to work independently with minimal supervision.
Possess strong communication and interpersonal skills, including the ability to work cooperatively with multiple stakeholders.
Have the ability to manage external counsel.
Display the ability to meet deadlines and work under pressure.
Be able to utilize their strong organizational skills and ability to manage ambiguity and many projects concurrently.
Have a desire and ability to develop knowledge and expertise in new areas of law.
